These Terms and Conditions ("Terms") govern your access to and use of the www.sireni.com website (the "Site"), and the Sireni Software-as-a-Service (SaaS) platform, APIs, applications, and any related offerings (collectively, the "Services") provided by Sireni LLC ("Sireni," "we," "us," or "our").

By registering for, accessing, browsing, or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access the Site or use our Services.

1. Description of the Site and Services

Sireni provides a public informational Site and a cloud-based software service. We reserve the right to update, modify, suspend, or discontinue any part of the Site or Services at any time, for any reason, with or without notice. We will provide reasonable notice of any material changes that substantially impact your paid subscription usage.

2. User Accounts, Security, and Eligibility

  • Security: You are strictly responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.   • Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to form a binding contract with Sireni LLC. By using the Site, you represent and warrant that you meet these requirements.

4. Subscriptions, Payments, and Billing

Certain features of the Services are offered on a paid subscription basis. By selecting a subscription plan, you agree to pay Sireni LLC the applicable fees indicated at the time of purchase.

All fees are exclusive of applicable taxes, which you are responsible for paying. Fees are non-refundable except as required by law or specifically noted in our documented Refund Policy. We reserve the right to change our pricing upon prior written notice to you; continuing to use the Services after such notice constitutes your acceptance of the new pricing.

5. Intellectual Property Rights

All content, features, and functionality of the Site and Services—including but not limited to software, code, text, design, graphics, logos, and audio—are the exclusive property of Sireni LLC and its licensors. They are protected by copyright, trademark, and other intellectual property laws. Your use of the Site and Services does not grant you ownership of any of our intellectual property. You may not copy, modify, distribute, or create derivative works based on our Site or Services without our express written consent.

6. User Data and Privacy

You retain all ownership rights to the data, text, files, and content you upload, submit, or process through the platform ("User Data"). 7. Indemnification

You agree to defend, indemnify, and hold harmless Sireni LLC, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Site and Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Data caused damage to a third party.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIRENI LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR SERVICES; (C) ANY CONTENT OBTAINED FROM THE SITE OR SERVICES; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

In no event shall Sireni LLC's aggregate liability for all claims related to the Site or Services exceed the total amount paid by you to Sireni LLC in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SIRENI LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THEM. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK.

10. Dispute Resolution and Binding Arbitration

Please read this section carefully, as it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in the state of Sireni LLC's registration before one arbitrator. Judgment on the Award may be entered in any court having jurisdiction. You and Sireni LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

11. General Provisions

  • Force Majeure: Sireni LLC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
  • Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Termination

We may terminate or suspend your account and access to the Site and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. Sections relating to Intellectual Property, Indemnification, Limitation of Liability, and Dispute Resolution shall survive termination.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will indicate at the top of this page the date these terms were last revised. By continuing to access or use our Site or Services after those revisions become effective, you agree to be bound by the revised Terms.
